# Business Terms

Version 2026-10-23 · Effective October 21, 2026

## 1. Definitions

In these terms:

- **INDEXA** is INDEXA, S.R.L., RNC 1-31-79391-6, with its address at Ave. Tiradentes esq. Presidente González, Edificio La Isla, Piso 1, Ensanche Naco, Santo Domingo, Dominican Republic.
- **Timbro** is the set of services INDEXA provides under that brand, described in section 2: Sell, Serve, Collect, Portal Timbro, Cuenta Timbro, the API and its integrations, and the operated All-in-One service.
- **The Sell service** includes Invoicing (the issuance of electronic fiscal receipts, or e-CF), and the Point-of-sale system once it is available.
- **The Serve service** is the handling of the Business’s conversations with its customers on channels such as WhatsApp, with an assistant that replies on the Business’s behalf. Serve is in beta.
- **The Collect service** is the tool the Business uses to receive payments from its customers: payment link, QR code, and At your counter. It is the service, not what INDEXA charges for it.
- **Timbro charges** are the amounts INDEXA charges the Business for using Timbro: the invoicing plan, the services the Business contracts, their setup, the Timbro team’s services, and the Collect fee (sections 8 and 12 and the [Timbro team services](https://timbro.do/en/politicas/servicios/) annex). They do not include the acquirer’s commission or third-party charges, such as Meta message fees (section 28).
- **Invoicing plan** is the Starter plan, the Essential plan, or the Pro plan, under section 8. **Enterprise** is the plan contracted through a signed order (section 27).
- **Order** is what a customer of the Business requests and confirms, with the Business’s products and prices. **Sale** is everything that belongs to a single sale: order, payment, and invoice.
- **Returning customer** is a customer with a Cuenta Timbro who buys again from the same Business, once that feature is available (section 29).
- **The Business** is the individual or legal entity, identified by its RNC or national ID (cédula), that creates an account in Portal Timbro to use Timbro.
- **Authorized person** is anyone who acts on behalf of the Business in Portal Timbro with the Owner or Administrator role.
- **Invoice** is a production electronic fiscal receipt (e-CF) issued by the Business through Timbro.
- **Test mode** and **Live mode** are the two modes of Timbro. In Test mode, invoices go to the DGII testing environment and have no fiscal value, and payments do not move real money.
- **Go live** is the request by which the Business asks to enable a service in Live mode.
- **Registered card** is the card that an authorized person registers in Portal Timbro as the payment method for Timbro charges.
- **Merchant account** is the Business’s contract with its acquirer (Azul, CardNet, or another) to accept card payments.

## 2. Who provides the service

INDEXA, an electronic-invoicing service provider authorized by the DGII since November 2021, provides Timbro, charges for its plans and fees, and issues the Business an electronic invoice for each charge.

Timbro consists of these services, each with its own scope:

- **Sell:** issuing e-CF electronic invoices and sending them to the DGII (Invoicing). The Point-of-sale system is governed by these terms once it is available. Sections 5, 6, 10, 11, and 17 govern Invoicing.
- **Serve:** conversations with customers on channels such as WhatsApp, with an assistant. It is in beta and is governed by section 28 and by the [Serve annex](https://timbro.do/en/politicas/atiende/).
- **Collect:** receiving payments by payment link, QR code, and At your counter. It is governed by section 12.
- **Portal Timbro:** the interface where the Business sets up and uses Timbro.
- **Cuenta Timbro:** the account of the person who pays, with their purchases, invoices, and saved details. It is not a database of the Business’s customers (section 29).
- **API and integrations:** the connection between Timbro and the Business’s systems.
- **All-in-One:** the service in which INDEXA operates the Business’s Odoo instead of the Business. It is contracted at the price in section 8 and through a signed order that defines its scope. Its commitments are in the [Service levels](https://timbro.do/en/politicas/niveles-de-servicio/) document.

## 3. Acceptance

By creating the account and using Timbro, the Business accepts these terms, the [Privacy Policy](https://timbro.do/en/politicas/privacidad/), the [Security Policy](https://timbro.do/en/politicas/seguridad/), and the [Service levels](https://timbro.do/en/politicas/niveles-de-servicio/) document that applies to its plan. Authorized persons accept on behalf of the Business.

These terms are supplemented by the [Data Processing Agreement](https://timbro.do/en/politicas/tratamiento-de-datos/), the list of [Providers that process data](https://timbro.do/en/politicas/proveedores/), the [Timbro team services](https://timbro.do/en/politicas/servicios/) annex, and, when the Business uses Serve, the [Serve annex](https://timbro.do/en/politicas/atiende/). The [2026 campaign terms](https://timbro.do/en/campana-2026/) detail the scope of section 13.

## 4. Account, people, and roles

The Business decides which people access Portal Timbro and with what role. The roles are:

- **Owner and Administrator:** can accept terms, register or remove the card, create API keys, and go live.
- **Member:** uses the service within the permissions assigned to them.

A connected agent or integration cannot accept terms or register a card.

The Business is responsible for keeping its authorized persons up to date and for removing access from anyone who should no longer have it. It must also protect its API keys and notify INDEXA immediately if it suspects unauthorized use.

## 5. Setup and DGII certification

The Business sets up Timbro and completes electronic invoicing certification with the DGII from Portal Timbro, without needing intervention from the Timbro team. Portal Timbro shows, at each step:

- what is missing;
- what the Business reported;
- what the DGII confirmed.

The DGII decides whether to authorize the Business as an electronic issuer. INDEXA does not guarantee that authorization or its timing. What the Business declares about its progress with the DGII is recorded as declared by the Business, and never enables Live mode on its own.

## 6. Going live

When the Business is ready, an authorized person requests it from Portal Timbro.

- **Sell (Invoicing):** the request requires a valid digital certificate, the production e-NCF sequences, and the Timbro URLs registered with the DGII.
- **Collect:** the request requires an active merchant account with its acquirer.

INDEXA enables Live mode within 24 business hours of the request and notifies the Business by email and in Portal Timbro. Business days and hours are those defined in the [Service levels](https://timbro.do/en/politicas/niveles-de-servicio/).

If something is missing, INDEXA returns the request with the reason, and the Business corrects it and submits it again from Portal Timbro.

Going live does not require a registered card.

## 7. Registered card

Before the first Timbro charge, INDEXA enables payment method registration in Portal Timbro and an authorized person confirms it. A single registered card serves all Timbro services. Registering it is optional for going live.

**What it is for:** it allows INDEXA to collect the Timbro charges.

**When it is charged:** INDEXA charges the registered card only the charges these terms establish, once a month in arrears. Setup is charged once, after the Business accepts it. A plan change is charged once an authorized person accepts it or, if the Business went past its included invoices, under section 9.

**What is stored:** INDEXA does not store the full card number or its security code. INDEXA’s acquirer keeps the card and returns a reference, which INDEXA stores together with the brand, the last four digits, and the expiration date, as well as who registered the card and when.

**Changes:** once the card is registered, an authorized person can replace or remove it at any time from Portal Timbro. Removing it does not cancel charges already incurred.

## 8. Plans and prices

From January 1, 2027, these monthly prices apply per RNC, for plans and for services. Prices are in United States dollars (US$) and are paid in Dominican pesos. Every amount carries ITBIS.

| Invoicing plan | Monthly price | Invoices included per month |
| -------------- | ------------- | -------------------------------------- |
| Starter plan   | US$ 0.00      | 500                                    |
| Essential plan | US$ 15.00     | 3,000                                  |
| Pro plan       | US$ 30.00     | 10,000, with recurring invoices (Beta) |

Every invoicing plan includes issuing invoices and credit notes, receiving supplier invoices, Portal Timbro, the API, the Odoo integration, Test mode, history, and export as PDF and XML.

**Additional invoices on the Pro plan:** after the month’s 10,000 invoices, INDEXA charges US$ 0.01 for each additional accepted invoice, plus ITBIS, billed monthly in arrears. The Pro plan never moves to Enterprise automatically.

**DGII help:** it costs US$ 75.00, once per RNC, on every plan, including Enterprise and All-in-One ([Timbro team services](https://timbro.do/en/politicas/servicios/) annex).

Serve is added to any invoicing plan; All-in-One already includes the Pro plan. Both are paid monthly, and their setup is paid once:

| Service                                | Monthly price | Setup                                                             |
| -------------------------------------- | ------------- | ----------------------------------------------------------------- |
| Serve (Beta)                           | US$ 25.00     | US$ 100.00                                                        |
| All-in-One, with the Pro plan included | US$ 200.00    | US$ 1,000.00; US$ 1,500.00 if the Business does not have Odoo yet |

All-in-One includes the Pro plan’s 10,000 invoices a month, with US$ 0.01 for each additional invoice, Serve, and INDEXA’s operation of Odoo (point of sale, inventory, Odoo’s online store, hosting, backups, and updates). It covers one Odoo database, one branch, and one WhatsApp number. Companies of other RNCs added to that database do not change the monthly price, their invoices count together with the Pro plan’s, and their setup is quoted. The All-in-One setup replaces the setup of Serve, and the Collect fee also applies with All-in-One (section 12). The scope of each setup, of DGII help, of the Timbro team’s help, and of custom projects is in the [Timbro team services](https://timbro.do/en/politicas/servicios/) annex.

**Who can use each plan:** any business. The plan depends on the invoices the Business issues each month, not on its DGII classification or its sales. No Business is required to contract Enterprise because of its volume or classification. Enterprise is contracted through a signed order, with the volume that is agreed (section 27).

## 9. If the Business goes past its plan’s invoices

On the Starter and Essential plans, INDEXA does not charge per additional invoice. If in a month the Business goes past the invoices included in its plan:

1. It keeps issuing during 7 days of grace.
2. After those days, Portal Timbro asks an authorized person to accept the next plan and shows the new monthly total of Timbro charges.
3. The next plan is billed from the first day of the month after the month of the request in step 2, whether or not an authorized person has accepted it. If nobody has accepted the request, INDEXA notifies the Business by email and in Portal Timbro.

The Starter plan’s next plan is the Essential plan, and the Essential plan’s next plan is the Pro plan. The Pro plan has no next plan: its additional invoices are charged under section 8.

**If the Business issues fewer invoices again:** if the Business moved to the next plan because of its invoices and then, in a calendar month, its invoices fit within those of its previous plan, the following month is billed at that previous plan, and INDEXA notifies the Business of the change. A plan the Business chose on its own does not change for this reason.

## 10. Included invoices, notices, and continuity

From January 1, 2027, INDEXA notifies the Business by email and in Portal Timbro when:

- it has used 80%, 90%, and 95% of its included invoices;
- it goes past its included invoices and the 7 days of grace begin;
- nobody has accepted the next plan and the following month is billed at that plan;
- the following month returns to its previous plan.

INDEXA does not stop or limit invoice issuance because the Business exceeds the invoices included in its plan. Protections against abuse, credential compromise, or overload are independent of volume. During periods of high demand, issuance times may vary, and some functions depend on external services that may be affected by their availability.

## 11. What counts as an invoice

Each production electronic fiscal receipt counts once, when the DGII accepts it or conditionally accepts it. Credit and debit notes count.

Rejections, resends, printed representations, deliveries to the customer, tests, and receipts that the Business receives do not count.

## 12. The Collect service and its fee

The Collect service is what the Business uses to receive payments. The Collect fee is the Timbro charge for that service and is distinct from the acquirer’s commission and any other third-party charge.

From January 1, 2027, the Collect fee is 0.4% of the total amount of each payment, plus ITBIS. This charge is separate from the commission the acquirer charges the Business under its merchant account, which INDEXA does not modify. Until that date, no Collect fee is charged, under the 2026 campaign (section 13).

Refunds and payment holds:

- If the Business refunds a payment within the same calendar month in which it collected it, INDEXA deducts that payment’s fee from the month’s invoice.
- A refund in a later month does not deduct it.
- A payment hold that the Business releases without collecting pays no fee.
- Split payments, payment holds (deposits), and Quick pay carry no additional charge.

INDEXA charges the Collect fee each month in arrears, together with the other Timbro charges, under section 14.

## 13. 2026 campaign

Through December 31, 2026 at 11:59 p.m., Dominican Republic time:

- INDEXA does not charge any monthly amount: not the invoicing plan, not the Collect fee, and not the monthly price of Serve or All-in-One. The acquirer’s commission does not change.
- INDEXA does charge for the one-time services: the setup of Serve and All-in-One, DGII help, and the Timbro team’s help, at the prices in section 8 and in the [Timbro team services](https://timbro.do/en/politicas/servicios/) annex.
- The campaign does not include the digital certificate, third-party services, custom projects, Timbro Local, or Enterprise service commitments that are contracted separately.

Activating later does not extend the date. Confirming a payment method during the campaign does not generate monthly charges before January 1, 2027. One-time charges are billed under section 14. In December, INDEXA tells the Business its 2027 plan and estimated cost. The [2026 campaign terms](https://timbro.do/en/campana-2026/) detail the scope.

## 14. INDEXA billing and outstanding payments

INDEXA charges each month in arrears: January is charged in February. There are no retroactive monthly charges for 2026 usage. Before the first charge, INDEXA tells the Business the date and an authorized person confirms a payment method. On Enterprise, payment may be made by bank transfer against INDEXA’s invoice, as set out in its order.

If a charge to the registered card is declined, INDEXA notifies the Business and asks it to update the card. If an amount remains outstanding, INDEXA gives written notice before taking any action. If the contract ends for nonpayment, the Business has at least 30 days to migrate, and its invoices, statuses, and exports remain available during that period.

## 15. Service levels

The availability, maintenance, incident notice, and support commitments for each plan are in the [Service levels](https://timbro.do/en/politicas/niveles-de-servicio/) document. The Starter, Essential, and Pro plans have a 99% monthly availability target, with no guarantee or credits, and email support on business days, with a first response within 8 business hours for Timbro faults. Enterprise includes 99.9% monthly availability with credits, and the service levels, personalized support, escalation, and reserved capacity set out in its contract.

## 16. Business obligations

The Business agrees to:

- keep its data, authorizations, e-NCF sequences, and digital certificate correct, and meet its fiscal and record-retention obligations;
- issue invoices only for real transactions and with truthful information;
- have the notices and authorizations the law requires for the customer data it brings into Timbro (section 18);
- use Timbro only for lawful purposes.

In particular, the Business may not:

- test cards without authorization or process third-party payments through its merchant account;
- attempt to access another business’s data;
- interfere with the service, circumvent its limits, or run load or security tests without INDEXA’s written authorization.

## 17. Digital certificate

The Business uploads its digital certificate to Portal Timbro through the step provided for that purpose. INDEXA uses the certificate’s password only to validate and import it, and does not keep it. The private key is stored encrypted in a separate signing service and is used only to sign the documents the Business requests.

The Business must never send the certificate or its password by email, chat, or forms.

## 18. Data of the Business’s customers

For the personal data of its customers that the Business brings into Timbro, the Business decides the purpose and is responsible for the processing, and INDEXA processes the data on the Business’s behalf under the [Data Processing Agreement](https://timbro.do/en/politicas/tratamiento-de-datos/), which forms part of these terms. The data INDEXA processes for its own purposes is governed by the [Privacy Policy](https://timbro.do/en/politicas/privacidad/).

## 19. Intellectual property

INDEXA retains all rights in Timbro, its software, its documentation, and its trademarks. The Business receives a non-exclusive, non-transferable right to use Timbro while its account is active and in accordance with these terms.

The Business retains all rights in its data and its tax documents.

## 20. Information and analytics

INDEXA may use usage and operational information to maintain, protect, and improve the service. It may also produce aggregated or de-identified data from the information it processes to provide Timbro, including invoices, sales, and payments, and use it for analytics and statistics, as long as it does not reasonably allow people, businesses, or transactions to be identified. The [Data Processing Agreement](https://timbro.do/en/politicas/tratamiento-de-datos/) governs how it is produced from the data of the Business’s customers. INDEXA does not sell personal data or identifiable information about the Business, and does not give one business identifiable information about another business’s customers or transactions.

## 21. Limitation of liability

INDEXA provides Timbro with reasonable care. INDEXA is not liable for failures of the DGII, acquirers, card networks, the Business’s systems, or third-party services outside its control.

INDEXA is not liable for indirect damages or lost profits. INDEXA’s total liability to the Business for any claim related to Timbro does not exceed the Timbro charges the Business paid in the 12 months before the event giving rise to the claim. These limitations do not apply to liability that the law does not allow to be limited, including liability arising from willful misconduct or gross negligence.

## 22. Fortuitous event or force majeure

Neither party is liable for non-performance caused by a fortuitous event or force majeure, including general internet or power failures, acts of authority, and natural disasters. The affected party notifies the other as soon as it can and resumes performance when the cause ends.

## 23. Suspension and termination

INDEXA may temporarily restrict the functions affected by:

- a security or fraud risk;
- a material breach of these terms;
- a legal requirement;
- the loss of the Business’s fiscal authorization;
- the compromise of its certificate.

INDEXA notifies the Business and explains how to resolve it, unless the law or security prevents it.

The Business may cancel its account at any time. Cancellation cannot be undone: the Business loses access to Portal Timbro, and its keys, connections, and certificate stop working. Charges already incurred remain due.

In any case, the Business can still look up its invoices and their statuses and export them for at least 30 days after termination, unless a strictly necessary security or legal measure prevents it.

## 24. Retention

The Business remains responsible for keeping its tax documents for the period required by Dominican tax law, including the Tax Code (Law No. 11-92) and Law No. 32-23 on Electronic Invoicing, and that obligation continues even if the Business stops using Timbro.

INDEXA keeps issued invoices, their signed XML files, and their statuses while it provides the service, and makes them available to the Business for lookup and export.

After termination, INDEXA keeps invoices, payments, and their records for the longest period the law requires, currently at least 10 years under the Tax Code, because the law does not allow deleting them sooner. Data that no law requires keeping is deleted 30 days after termination.

An invoice issued to a customer is also that customer’s document, and it stays available to them even if the Business cancels its account.

## 25. Changes

INDEXA gives notice by email and in Portal Timbro of any material change to these terms or to prices at least 30 days in advance. If the Business does not agree, it may cancel before the change applies.

## 26. Governing law and jurisdiction

These terms are governed by the laws of the Dominican Republic. Before going to court, the parties will try in good faith to resolve any dispute through written communication. If they do not resolve it, the dispute is submitted to the competent courts of the Distrito Nacional (Santo Domingo).

## 27. Enterprise plan and Timbro Local

Enterprise, and Timbro Local when INDEXA offers it to the Business, are contracted through a signed proposal or order, with no published price. That order defines:

- the businesses, RNCs, and branches;
- the price;
- the agreed invoice volume;
- the reserved capacity;
- the service levels;
- the personalized support and escalation;
- the integrations;
- the reserved infrastructure, where applicable;
- the responsibilities of each party.

If the order and these terms differ, the order prevails. No chargeable work begins without the Business’s express acceptance.

## 28. Serve

Serve is in beta. It lets the Business talk with its customers on channels such as WhatsApp, with an assistant that replies on its behalf. It is activated at the Business’s request, and each feature applies to the extent it is available on the activated channel. Its rules are in the [Serve annex](https://timbro.do/en/politicas/atiende/), which forms part of these terms. In summary:

- The Business owns its catalog, prices, and orders, and is responsible for them.
- The assistant replies using the Business’s catalog and prices, and says that it is automated.
- The customer confirms the order summary before paying.
- The Business can take over the conversation.
- Meta message fees are separate from Timbro charges, and the Business pays them directly to Meta.

## 29. Returning customer and Cuenta Timbro

Returning customer applies only once this feature is available and the Business activates it. When a customer pays with a Cuenta Timbro, the Business can see how many times that customer buys from it again, without a name or contact details and without seeing their activity at other businesses. The Business sees that person’s name and contact details only if they agree to share them with that Business from their Cuenta Timbro, and they can withdraw that agreement at any time. The identifier a Business sees is different from the one any other Business sees.

INDEXA treats that count and that identifier as personal data, in accordance with Law No. 172-13 on the comprehensive protection of personal data (“Law 172-13”) and the [Privacy Policy](https://timbro.do/en/politicas/privacidad/).

The Business may not use this information to identify a person who has not agreed to share their data, or to present itself as if it knew them.
